Terms and conditions of sale

These terms and conditions of sale govern the sale of GuavaLight software licences by GuavaLight. Any order implies unreserved acceptance of these terms.

1. Purpose

These terms set out the rights and obligations of the parties for the online sale of usage licences for the GuavaLight software and its editions (Light, Go).

2. Seller

The software is published and sold by GuavaLight, with registered office at Rue de Boussoit 4, 7110 Maurage, Belgique, registered under VAT number BE0501936990. Contact: support@guavalight.com.

3. Licences and usage rights

GuavaLight is licensed, not sold. The purchase grants a personal, non-exclusive and non-transferable usage licence for the acquired edition.

The one-time purchase licence is perpetual for the version concerned. Any resale, sharing or distribution of the licence key is prohibited.

4. Prices

Prices are shown in euros, all taxes included. Belgian VAT of 21% applies. For businesses established in the European Union holding a valid VAT number, the reverse-charge mechanism may apply.

GuavaLight reserves the right to change its prices at any time; licences are invoiced at the rate in force at the time of the order.

5. Order and payment

Payment is made online via our secure payment provider. The order is firm upon payment confirmation. A compliant invoice is issued for each purchase.

6. Delivery

Delivery is entirely digital. The licence key and activation instructions are sent by e-mail to the address provided at the time of order, usually immediately after payment.

7. Right of withdrawal

In accordance with the Belgian Code of Economic Law, the consumer is in principle entitled to a 14-day withdrawal period.

However, this right does not apply to the supply of digital content not delivered on a tangible medium where performance has begun with the consumer’s prior express consent, the consumer thereby acknowledging the loss of the right of withdrawal. By activating the licence, the customer requests immediate performance and waives the right of withdrawal.

8. Warranty and conformity

The software is provided “as is”. GuavaLight undertakes to provide software conforming to its description and makes reasonable fixes available. The customer is invited to check hardware compatibility (FTDI interface, macOS version) before purchase.

9. Liability

GuavaLight shall not be liable for indirect damages resulting from use of the software. In any event, liability is limited to the amount of the licence concerned.

10. Personal data

The processing of personal data is described in our Privacy Policy.

11. Applicable law and jurisdiction

These terms are governed by Belgian law. In the event of a dispute, and failing amicable settlement, the courts of the district of GuavaLight’s registered office have sole jurisdiction, subject to mandatory consumer-protection provisions.
